Kate Lloyd advises multinational businesses on global equity-based compensation programs and corporate governance matters. Following six years of corporate law firm experience, Ms. Lloyd joined the legal group of a global technology and consulting company with stock registered on the New York Stock Exchange. She had responsibility for coordinating global equity compensation program compliance in over fifty countries as well as drafting disclosure documents and advising management and the board on U.S. securities law issues, particularly with respect to executive and equity compensation matters. She served as the subject matter expert for corporate compliance matters including with respect to the governance portions of the Dodd-Frank Act, insider trading laws, compensation risk management, shareholder advisory firm and activist shareholder policies, and disclosure issues.
Ms. Lloyd received her J.D. from Northwestern University School of Law and her B.S. in Business Administration with a major in Human Resources from The Ohio State University
